Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Novisly application and website (the “Service”) provided by Novisly (“we”, “us”). By installing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Service

Novisly connects to your HubSpot account to place AI voice phone calls when a deal reaches a pipeline stage you choose, and to write call outcomes back to your HubSpot deals. The Service relies on third-party platforms, including HubSpot and VAPI, which are governed by their own terms.

2. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and be responsible for activity under your account. The Service is intended for business use by users aged 16 or older.

3. Your responsibilities & acceptable use

You are responsible for the content of your AI agents’ prompts and the calls placed on your behalf.
You must comply with all applicable laws, including telemarketing, call-recording, consent, and data-protection laws (for example obtaining any required consent to call or record).
You must not use the Service to send unlawful, harassing, deceptive, or abusive communications, or to place calls to recipients who have not provided any legally required consent.
You must not attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.

You are solely responsible for ensuring that automated and recorded calls placed through the Service comply with the laws of the jurisdictions you and your contacts are in.

4. Third-party services & VAPI

The Service requires your own VAPI account and API key to place calls. You are responsible for your VAPI account, its configuration, and all charges VAPI bills you. Your use of HubSpot and VAPI is subject to their respective terms and policies.

5. Fees

During early access the Novisly application may be offered free of charge. Voice minutes and related telephony costs are billed to you directly by VAPI. We may introduce paid plans in the future with advance notice.

6. Intellectual property

We retain all rights in the Service and our trademarks. You retain all rights in your data and content. You grant us the limited rights needed to operate and provide the Service to you.

7. Data protection

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms. For data you process through the Service, you act as the data controller and Novisly acts as a processor.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that calls will always be placed or completed successfully.

9. Limitation of liability

To the maximum extent permitted by law, Novisly will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us for the Service in the 12 months before the claim, or US $100.

10. Indemnification

You agree to indemnify and hold Novisly harmless from claims arising out of your use of the Service, your content, or your breach of these Terms or applicable law, including any claims relating to calls placed on your behalf.

11. Termination

You may stop using the Service and uninstall it from HubSpot at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.

12. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date and, for material changes, provide additional notice. Continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws applicable at our principal place of business, without regard to conflict-of-law rules. The specific governing jurisdiction will be stated here prior to general availability.
